GoClite is a business discovery and customer review platform that helps people discover businesses, read customer experiences, compare ratings, explore business information, and make more informed decisions.

These Terms of Use (“Terms”) govern your access to and use of the GoClite website, applications, services, business listings, reviews, ratings, business pages, content and related features (collectively, the “Services”).

By accessing or using GoClite, creating an account, submitting a rating or review, creating or contributing to a business page, claiming or managing a business profile, or otherwise using the Services, you agree to these Terms.

If you do not agree to these Terms, please do not access or use GoClite.

1. About GoClite

GoClite provides an online platform where users can discover and learn about businesses and services.

Depending on the features available, GoClite may allow users to:

• Search for businesses and services
• Browse business listings and pages
• View business information
• Give businesses a rating from 1 to 5 stars
• Write and publish reviews
• Share customer experiences
• Upload permitted photos or other content
• Create or suggest business pages
• Contribute or update business information
• Claim or manage a business page where authorized
• Respond to reviews
• Report potentially fraudulent, inaccurate or inappropriate content
• Interact with businesses and other users through available features

GoClite may introduce, modify, suspend or discontinue features from time to time.

2. Who These Terms Apply To

These Terms apply to all users of GoClite, including:

2.1 Visitors

People who browse or access GoClite without creating an account.

2.2 Registered Users

People who create an account or profile and use interactive GoClite features.

2.3 Reviewers

Users who submit ratings, reviews, photographs or other customer experiences.

2.4 Business Owners

People who own a business listed on GoClite.

2.5 Business Representatives

Employees, agents or other authorized persons who manage or represent a business on GoClite.

2.6 Business Page Contributors

Users who create, suggest, edit or contribute information to business pages.

Creating or contributing to a business page does not automatically establish ownership, authorization or affiliation with the business.

3. Acceptance of These Terms

By using GoClite, you confirm that:

• You have read these Terms.
• You understand these Terms.
• You agree to comply with these Terms.
• You will comply with applicable laws and regulations.
• You will not use GoClite for fraudulent, abusive or unlawful purposes.

If you are using GoClite on behalf of a business or organization, you represent that you have authority to accept these Terms on behalf of that business or organization.

4. Account Registration

Some GoClite features may require an account.

When creating an account, you agree to provide information that is reasonably accurate and current.

You must not:

• Create an account using another person’s identity
• Impersonate another person or organization
• Create accounts for fraudulent purposes
• Use another person’s account without authorization
• Create multiple accounts to manipulate reviews or ratings
• Provide intentionally misleading account information

You are responsible for maintaining the security of your account credentials.

If you believe your account has been compromised, you should notify GoClite promptly.

5. Reviews and Ratings

GoClite allows users to provide 1–5 star ratings and written reviews about businesses.

Reviews are intended to represent the reviewer’s experience, observations or opinion regarding a business, product, service or customer interaction.

Users are responsible for the content of their reviews.

A review or rating submitted to GoClite does not necessarily represent the views or opinions of GoClite.

6. Requirements for Reviews

When submitting a review, you agree that:

• Your review should be based on a genuine experience, interaction or legitimate knowledge.
• You will not knowingly submit false or misleading information.
• You will not impersonate another customer.
• You will not submit a review on behalf of a person without authorization.
• You will not create fake reviews.
• You will not purchase or sell fake reviews.
• You will not manipulate a business’s rating.
• You will not create multiple accounts to influence ratings.
• You will not use reviews to threaten, harass, extort or blackmail another person or business.
• You will not knowingly publish unlawful content.
• You will not disclose another person’s private information without authorization.
• You will not use reviews primarily for spam or unrelated advertising.

GoClite may allow users to edit or update reviews where the relevant feature is available.

7. Fake Reviews and Review Manipulation

GoClite prohibits fraudulent or deceptive review practices.

You must not:

• Buy positive reviews
• Buy negative reviews
• Sell reviews
• Sell fake ratings
• Create fake customer accounts
• Write reviews for businesses you did not experience merely to manipulate their reputation
• Ask people to submit false reviews
• Pay someone to create fake reviews
• Offer compensation specifically for a positive or negative review
• Coordinate groups to artificially increase or decrease ratings
• Use bots or automated systems to generate reviews
• Submit the same or substantially similar review repeatedly
• Review your own business through an undisclosed account
• Create fake reviews about competitors
• Manipulate GoClite’s rating or ranking systems

Businesses and users should not attempt to artificially influence the overall rating or reputation of a business.

The FTC’s current federal review rule addresses, among other practices, fake or false reviews and compensation or incentives conditioned on a particular positive or negative sentiment.

8. Incentives for Reviews

Businesses may ask genuine customers to provide honest feedback.

However, businesses must not condition compensation, discounts, gifts or other incentives on the customer providing a particular positive or negative rating or review.

For example, a business should not offer:

“Get a $20 gift card if you leave us a 5-star review.”

Businesses also should not use incentives to selectively obtain positive reviews while discouraging negative feedback.

Where applicable, any incentivized review must comply with applicable law and GoClite’s policies.

GoClite may prohibit or restrict incentivized reviews regardless of whether the incentive is disclosed.

The FTC has specifically warned against conditioning incentives on positive reviews and has advised review platforms not to prevent or discourage negative reviews.

9. Reviews by Business Owners, Employees and Related Persons

Business owners, employees, agents and other persons with a material connection to a business must not present themselves as independent customers when submitting reviews.

Where applicable, material relationships must be clearly disclosed.

Businesses must not use employees, agents, relatives or other connected persons to create misleading reviews or artificially improve their reputation.

The FTC’s current rule addresses certain undisclosed insider reviews and testimonials and imposes requirements concerning certain reviews involving officers, managers, employees, agents and related persons.

10. Honest Negative Reviews

GoClite does not require reviews to be positive.

A business may receive negative reviews.

A negative review is not automatically a violation of these Terms simply because the business disagrees with it.

Businesses should respond professionally and may report reviews that they reasonably believe violate GoClite’s policies or applicable law.

Businesses must not use threats, intimidation, harassment or unfounded legal threats to force a reviewer to remove or change an otherwise legitimate review.

Federal law also protects consumers’ ability to provide honest reviews and generally prohibits certain contractual restrictions or penalties against reviewers.

11. Business Pages

GoClite may allow users to create, suggest or contribute to business pages.

A business page may contain:

• Business name
• Business category
• Address
• Phone number
• Website
• Hours
• Services
• Photos
• Business description
• Ratings
• Reviews
• Other business-related information

Business information may come from business owners, authorized representatives, users, public sources or other permitted sources.

12. Creating a Business Page

Where the feature is available, a user may create or suggest a business page.

Creating a page does not automatically mean:

• The user owns the business
• The user works for the business
• The user represents the business
• The business has approved the page
• The user has authority to manage the business

Users must not falsely claim that they own or represent a business.

GoClite may request additional information to determine whether a person is authorized to manage a business page.

13. Business Owners and Representatives

Business owners or authorized representatives may be permitted to claim or manage a business page.

A person claiming a business page must provide accurate information and must have appropriate authority to represent the business.

Business owners and representatives may be able to:

• Update business information
• Add or correct business details
• Add photos
• Respond to reviews
• Report potentially fraudulent reviews
• Report inaccurate information
• Manage available business-page features

Business owners must not:

• Create fake customer accounts
• Post fake reviews
• Manipulate ratings
• Purchase reviews
• Threaten reviewers
• Harass reviewers
• Attempt to suppress legitimate negative reviews
• Falsely report legitimate reviews
• Impersonate customers
• Misrepresent competitors

14. Business Owners Cannot Automatically Remove Negative Reviews

A business owner does not have an automatic right to remove a review simply because the review is negative, critical or unfavorable.

GoClite may consider removal requests where there is evidence that a review:

• Is fake
• Is fraudulent
• Violates these Terms
• Contains prohibited personal information
• Contains threats or harassment
• Is unrelated to the business
• Is spam
• Violates applicable law
• Infringes intellectual property rights
• Otherwise violates GoClite policies

GoClite may review reports and determine whether action is appropriate.

15. GoClite’s Review Moderation

GoClite may use automated systems, human review, user reports or other methods to identify content that may violate its policies.

GoClite may:

• Approve content
• Reject content
• Restrict content
• Remove content
• Temporarily hide content
• Request additional information
• Restrict accounts
• Suspend accounts
• Take other reasonable action

GoClite does not guarantee that every fake, inaccurate or prohibited review will be identified.

Likewise, GoClite does not guarantee that every review is independently verified.

Our goal is to maintain a useful and trustworthy platform while recognizing that user-generated content can sometimes be inaccurate, incomplete or disputed.

The FTC recognizes that review platforms may use automated systems, human moderators, pre-publication moderation or post-publication moderation depending on their circumstances.

16. Review Reporting

Businesses and users may report reviews or other content that they believe violates these Terms.

Reports should include sufficient information to help GoClite evaluate the concern.

GoClite may request supporting information.

Submitting a report does not guarantee removal.

GoClite may reject reports that appear to be abusive, fraudulent, retaliatory or intended merely to suppress legitimate criticism.

17. User-Generated Content

Users may submit:

• Reviews
• Ratings
• Photos
• Comments
• Business information
• Business descriptions
• Other permitted content

Collectively, this is referred to as “User Content.”

You remain responsible for the User Content you submit.

By submitting User Content, you represent that:

1. You have the necessary rights to submit it.
2. Your submission does not knowingly violate another person’s rights.
3. Your submission is not intentionally fraudulent or misleading.
4. Your submission does not unlawfully disclose another person’s private information.
5. Your submission does not infringe copyright, trademark or other intellectual property rights.
6. Your submission complies with applicable law.
7. Your submission does not contain malicious software or code.

18. Publicly Visible Content

Some User Content may be publicly visible.

Depending on the feature, public information may include:

• Display name or username
• Profile information you choose to make public
• Star rating
• Review
• Review date
• Photos
• Public comments
• Business-page contributions

You should not include sensitive or private information in public content.

Do not publish:

• Passwords
• Financial account information
• Government identification numbers
• Private medical information
• Private contact information belonging to another person
• Security credentials
• Other information that you do not have the right to publish

Public content may be viewed, copied, indexed or shared by third parties outside GoClite’s control.

19. License to User Content

You retain ownership of User Content that you have the legal right to own.

By submitting User Content to GoClite, you grant GoClite a non-exclusive, worldwide, royalty-free, transferable and sublicensable license to host, store, reproduce, display, distribute, format, adapt and otherwise use the User Content as reasonably necessary to:

• Operate GoClite
• Display reviews and ratings
• Display business pages
• Provide search and discovery features
• Improve the Services
• Moderate the Services
• Maintain platform security
• Promote GoClite and its Services

This license continues for as long as reasonably necessary for the purposes described above, subject to applicable law and our Privacy Policy.

You are responsible for ensuring that you have the necessary rights to grant this license.

20. Removal of User Content

You may request removal of your eligible User Content through available GoClite procedures.

However, removal may not always be immediate or technically possible.

GoClite may retain, anonymize, archive or otherwise preserve information or content where reasonably necessary for:

• Legal compliance
• Fraud prevention
• Security
• Dispute resolution
• Enforcement of these Terms
• Investigation of abuse
• Recordkeeping
• Protection of GoClite or others

Deleting an account does not necessarily require GoClite to immediately delete every public contribution associated with that account.

21. Prohibited Content

You must not submit or publish content that:

• Is knowingly false or fraudulent
• Is defamatory or unlawfully harmful
• Contains threats
• Encourages violence or illegal activity
• Harasses or intimidates another person
• Contains hate-based attacks
• Contains excessive profanity or abusive material where prohibited by GoClite policy
• Contains pornography or unlawful sexual content
• Exploits minors
• Reveals private personal information
• Infringes intellectual property rights
• Contains malware
• Is spam
• Is primarily promotional when not permitted
• Attempts to manipulate reviews or rankings
• Impersonates another person or business

GoClite may remove or restrict content that violates these rules.

22. Business Information Accuracy

GoClite aims to provide useful and current business information, but business information can change.

GoClite does not guarantee that every listing is:

• Complete
• Current
• Accurate
• Verified
• Available
• Correctly categorized

Businesses and users are encouraged to report inaccurate information.

GoClite may correct, update, merge or remove business information where appropriate.

23. No Business Endorsement

A business appearing on GoClite does not automatically mean that GoClite:

• Recommends the business
• Certifies the business
• Endorses the business
• Guarantees the business
• Guarantees the quality of its services
• Verifies its licensing
• Guarantees its pricing
• Guarantees its availability
• Guarantees its safety

Users should conduct their own research before making important decisions.

24. User Decisions and Transactions

GoClite may help users discover businesses, but unless expressly stated otherwise, GoClite is not itself the provider of the products or services offered by businesses listed on the platform.

Transactions between users and businesses may include:

• Purchases
• Appointments
• Reservations
• Payments
• Contracts
• Service arrangements
• Communications

Unless GoClite expressly states otherwise, these transactions occur directly between the user and the relevant business.

GoClite is not responsible for the performance, quality, legality or outcome of a transaction between a user and a business.

25. Third-Party Links and Services

GoClite may contain links to third-party websites, applications or services.

Third-party services may have separate terms and privacy policies.

GoClite does not control and is not responsible for third-party websites, services, content, security practices or policies.

You access third-party services at your own risk.

26. Advertising and Business Services

GoClite may offer advertising, premium listings, promotional services or other business services in the future.

Where applicable, paid services may be governed by additional terms or agreements.

Payment for advertising or business services does not automatically guarantee:

• Positive reviews
• Removal of negative reviews
• A specific rating
• A favorable review
• Permanent ranking
• Guaranteed customer leads
• Guaranteed search placement

GoClite may distinguish paid promotional content from ordinary business information or user-generated reviews where required by law or applicable platform policy.

27. No Pay-to-Play Review Manipulation

GoClite intends to maintain a clear distinction between legitimate paid business services and user-generated reviews.

A business’s payment for advertising, premium services or other commercial services does not give that business the right to:

• Purchase reviews
• Purchase ratings
• Remove legitimate negative reviews
• Require positive reviews
• Manipulate ratings
• Misrepresent its relationship with GoClite

GoClite may establish separate policies governing paid placement and advertising.

28. Intellectual Property

GoClite and its licensors may own rights in:

• GoClite’s name
• GoClite trademarks
• Logos
• Website design
• Software
• User interface
• Graphics
• Original written content
• Platform functionality
• Database structure
• Other proprietary materials

Except as permitted by GoClite or applicable law, you may not:

• Copy substantial portions of the Services
• Reproduce GoClite’s proprietary content
• Reverse engineer the platform
• Attempt to extract proprietary source code
• Scrape data through unauthorized methods
• Republish substantial portions of GoClite
• Use GoClite trademarks without authorization
• Create a substantially similar service using GoClite’s proprietary materials

29. Copyright Complaints

If you believe content on GoClite infringes your copyright, you may contact GoClite with information reasonably sufficient to identify:

• The copyrighted work
• The allegedly infringing material
• The location of the material
• Your contact information
• Your statement that you have a good-faith belief the use is unauthorized
• Your statement that the information provided is accurate

GoClite may process copyright complaints under applicable law.

Where applicable, GoClite may maintain procedures for notices and counter-notices under the Digital Millennium Copyright Act (“DMCA”).

30. Privacy

Your use of GoClite is also governed by the GoClite Privacy Policy.

Your information is not for sale.

GoClite does not sell, rent or trade your personal contact information to unrelated third parties.

GoClite does not intend to provide your:

• Name
• Phone number
• Email address
• Personal contact information

to advertisers, data brokers or lead-generation companies for their independent marketing purposes.

GoClite may use selected service providers for necessary platform operations such as:

• Hosting
• Security
• Authentication
• Email delivery
• Analytics
• Infrastructure
• Customer support
• Fraud prevention
• Technical services

Those providers may process information on GoClite’s behalf as necessary to provide their services.

31. U.S. Privacy Rights

GoClite may be subject to federal and state privacy laws depending on its operations, users, data practices and applicable legal thresholds.

Certain U.S. states provide residents with specific privacy rights.

For example, qualifying California residents may have rights under the California Consumer Privacy Act, as amended, including rights concerning access, deletion, correction and opting out of certain sales or sharing of personal information.

GoClite’s Privacy Policy will explain the privacy rights applicable to users and the procedures for submitting privacy requests.

Nothing in these Terms is intended to waive rights that cannot legally be waived.

32. Children’s Use

GoClite is not intended to be used by children where such use is prohibited by applicable law.

Users should not provide personal information belonging to children unless legally authorized to do so.

If GoClite becomes aware that it has collected personal information from a child in circumstances where collection was not permitted, it may take reasonable steps to address the situation.

Our Privacy Policy contains additional information concerning children’s privacy.

33. Account Suspension or Termination

GoClite may suspend, restrict or terminate access to an account or feature where reasonably necessary, including when:

• These Terms are violated
• Fraud is suspected
• Review manipulation is detected
• An account is used for abuse
• Security is threatened
• The law requires action
• An account creates risk to other users
• The platform is otherwise being misused

GoClite may also remove or restrict individual content without terminating an entire account.

Where appropriate and legally permitted, GoClite may provide notice or an opportunity to address the issue.

34. Your Right to Stop Using GoClite

You may stop using GoClite at any time.

You may also request account deletion where account functionality permits.

Certain information may need to be retained for legitimate legal, security, fraud-prevention, dispute-resolution or operational purposes.

35. Disclaimers

To the maximum extent permitted by applicable law, the Services are provided on an “AS IS” and “AS AVAILABLE” basis.

GoClite does not guarantee that:

• The Services will always be available
• The website will operate without interruption
• All information will be accurate
• All business information will be current
• Every review will be genuine
• Every review will be independently verified
• Every business will provide the services described
• Search results will always be complete
• The platform will always be free from errors
• The Services will always be free from security vulnerabilities

GoClite may make reasonable efforts to maintain and improve the Services but cannot guarantee uninterrupted or error-free operation.

Nothing in these Terms excludes any warranty, right or remedy that cannot legally be excluded under applicable law.

36. Limitation of Liability

To the maximum extent permitted by applicable law, GoClite and its owners, affiliates, officers, employees, contractors, agents and service providers will not be liable for indirect, incidental, special, consequential or punitive damages arising from or related to your use of the Services.

This may include losses arising from:

• Reliance on a business listing
• Reliance on a review
• Reliance on a rating
• Transactions with businesses
• Third-party websites
• User-generated content
• Business disputes
• Service interruptions
• Unauthorized access
• Loss of data
• Loss of business opportunities

Nothing in these Terms limits liability that cannot legally be limited or excluded.

37. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless GoClite and its owners, affiliates, officers, employees, contractors and agents from claims, liabilities, damages, losses and reasonable expenses arising from:

• Your violation of these Terms
• Your User Content
• Your misuse of the Services
• Your violation of another person’s rights
• Your fraudulent or unlawful conduct
• Your violation of applicable law

This provision does not apply to the extent prohibited by applicable law.

38. Dispute Resolution

We encourage users and businesses to contact GoClite first to attempt to resolve disputes relating to the Services.

Certain disputes may be subject to applicable federal or state laws concerning dispute resolution, arbitration, class actions, consumer rights or other matters.

If GoClite later adopts a mandatory arbitration provision or class-action waiver, those provisions should be presented clearly and reviewed by qualified U.S. counsel before implementation.

40. Changes to These Terms

GoClite may update these Terms from time to time.

Changes may be made to reflect:

• New features
• Changes to the Services
• Changes in business practices
• Security requirements
• Legal requirements
• Regulatory developments

When appropriate, GoClite may provide notice of material changes.

The “Last Updated” date at the beginning of these Terms will indicate when the Terms were most recently updated.

41. Severability

If any provision of these Terms is determined to be invalid, unlawful or unenforceable, that provision will be interpreted or modified to the extent necessary to make it enforceable where legally permitted.

The remaining provisions will continue in effect.

42. No Waiver

If GoClite does not immediately enforce a provision of these Terms, that does not mean GoClite has waived its right to enforce that provision in the future.

43. Entire Agreement

These Terms, together with the GoClite Privacy Policy and any other policies expressly incorporated into these Terms, constitute the agreement governing your use of the Services, except where a separate written agreement applies.

46. Agreement

By accessing or using GoClite, you acknowledge that you have read and understood these Terms of Use and agree to comply with them.
